Reference is made to the announcement made on 29 August 2024 ("Prior Announcement").

Capitalised and italicised terms used in this announcement shall bear the same meaning ascribed to the same in the Prior Announcement.

Axiata Group Berhad wishes to announce the results of the Early Tender Deadline (being tenders by holders of Notes tendered (i) at or prior to 11:00 a.m., New York time on 11 September 2024 / 11:00 p.m., Malaysia time, on 11 September 2024 or any other date and time as may be extended or terminated by Axiata SPV5) in its sole discretion)  in respect of the Offer of up to a cash spend of  USD200,000,000 for the purchase of the Notes issued by Axiata SPV5.

As of the Early Tender Deadline, an aggregate principal amount of US$364,966,000 of the Notes had been validly tendered, representing approximately 36.5% of the total principal amount outstanding of the Notes.

As the total consideration payable in respect of the aggregate principal amount of the Notes validly tendered has exceeded the Offer Cap, Notes tendered after the Early Tender Deadline and at or prior to the Expiration Deadline will not be accepted for purchase, unless the Offer Cap is changed by Axiata SPV5 in its sole discretion and subject to applicable law.
