Distribution by Telekom Malaysia Berhad ("TM") of 1,243,057,173 of shares of TM International Berhad ("TMI Shares") via dividend in specie of the entire TM's holding of and rights to the shares of TMI Shares to TM's entitled shareholders whose name appears in the Record of Depositors or Register of Members of TM as of 25 April 2008 on the basis of 1 TMI Share for every TM Shares held by such entitled shareholders of TM ("Dividend in Specie").

Share swap and/or consideration shares pursuant to Sale and Purchase Agreement between TMI, Indocel Holding Sdn Bhd and Khazanah in relation to acquisition by TMI of all of Khazanah's equity interests in Sun Share Investments Ltd and PT Excelmindo Pratama Tbk satisfied through the issuance of 176,000,000 TMI Shares.

Acquisition of 251,680,000 of TMI Shares held by Bank Negara Malaysia pursuant to the Sale and Purchase Agreement ("SPA")which include TMI Shares. The SPA is still conditional subject to the approval from Securities Commission.
