The Board of Directors of Axiata Group Berhad, ("Axiata") wishes to announce that Axiata Enterprise Sdn Bhd, a wholly owned subsidiary of Axiata, had on 20 June 2025 commenced the Members’ voluntary winding up of Xpand Investments (Labuan) Limited (“Xpand” or the “Company”) pursuant to the Labuan Companies Act 1990. In relation thereto, Datuk Chin Chee Kee JP of Level 1, Lot 7, Block F, Saguking Commercial Building, Jalan Patau-Patau, 87000 Federal Territory of Labuan was appointed as the Liquidator for Xpand.

The Members’ voluntary winding up of Xpand is expected to be completed approximately between six (6) to nine (9) months (or a longer period subject to availability of Tax Clearance Letter from the tax authority) from the date of appointment of the Liquidator.

Information on Xpand

Xpand was incorporated in the Federal Territory of Labuan on 6 June 2017. Its present paid-up share capital is USD2.00 comprising 2 ordinary shares of par USD1.00 each.

Rationale for the Members’ Voluntary Winding Up

Xpand was incorporated primarily to acquire a 65% controlling stake in Suvitech Co. Ltd (“Suvitech”). Suvitech completed its voluntary liquidation on 4 July 2023. Following the liquidation of Suvitech, Axiata no longer anticipates any returns from this investment. Accordingly, Axiata is proposing a Members’ voluntary winding up of Xpand.

Financial or Operational Effects of the Members’ Voluntary Winding Up

The Members’ voluntary winding up of Xpand will not have any financial or operational effect on Axiata Group.

Directors’ and/or Major Shareholders’ Interest

None of the Directors and/or major shareholders of Axiata and/or persons connected to them have any direct or indirect interest in the Members’ voluntary winding up of Xpand.
