The Board of Directors of Axiata Group Berhad ("Axiata") wishes to announce that Xpand Investments (Labuan) Limited, a wholly-owned subsidiary of Axiata held via Axiata Business Services Sdn Bhd (“ABS”), had on 7 May 2019 commenced the voluntary liquidation and dissolution (“Voluntary Liquidation and Dissolution”) of DeeXpand Company Limited (“DeeXpand”) pursuant to the Thailand Civil and Commercial Code. In relation thereto, Khun Pardorn Suchiva, the Legal Director (“Liquidator”) of RSM (Thailand) Limited of 26th Floor, Sathorn City Tower, 175 South Sathorn Road, Thungmahamek, Sathorn, Bangkok 10120 Thailand was appointed as the Liquidator for DeeXpand.

The Voluntary Liquidation and Dissolution of DeeXpand is expected to be completed approximately between six (6) to twenty-four (24) months from the date of appointment of the Liquidator.

Information on DeeXpand

DeeXpand was incorporated in Thailand on 3 May 2016. Its present authorised capital is THB1,000,000.00 comprising 10,000 ordinary shares of par THB100 each. Its present issued, and paid-up capital is THB250,000.00 comprising 10,000 ordinary shares of par THB25 each. DeeXpand has been dormant since incorporation.

Rationale for the Voluntary Liquidation and Dissolution

In line with the repositioning of ABS to be the Best-in-Class Enterprise Solutions Company, the Management of DeeXpand proposes for the Company to be voluntarily liquidated and dissolved.

Financial or Operational Effects of the Dissolution

The Voluntary Liquidation and Dissolution of DeeXpand will not have any financial or operational effect on Axiata Group.

Directors’ and/or Major Shareholders’ Interest

None of the Directors and/or major shareholders of Axiata and/or persons connected to them have any direct or indirect interest in the Voluntary Liquidation and Dissolution of DeeXpand.
