We refer to the announcement dated 28 March 2019 in relation to the DRS (“Announcement”). Unless otherwise stated, the definitions used herein shall have the same meanings as set out in the Announcement.

On behalf of Axiata, CIMB wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had, vide its letter dated 4 April 2019, approved the listing of up to 124,088,713 new Shares to be issued pursuant to the DRS in respect of the Dividend (“Proposal”), on the Main Market of Bursa Securities. The approval granted by Bursa Securities is subject to the following conditions:

(a) Axiata and CIMB must fully comply with the relevant provisions under the Main Market Listing Requirements pertaining to the implementation of the Proposal;

(b) Axiata and CIMB to inform Bursa Securities upon the completion of the Proposal;

(c) Axiata to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposal is completed;

(d) Payment of the outstanding additional listing fee for the new Shares based on the final issue price, if relevant. In this respect, Axiata is required to furnish Bursa Securities a cheque drawn to the order of Bursa Malaysia Securities Berhad for the outstanding additional listing fee together with a copy of the details of the computation of the amount of fees payable.
