The Board of Directors of Axiata wishes to provide the following updates in respect of the Board Committees of Axiata:-

1. Establishment of Board Risk Management Committee (“BRMC”)

With effect from 1 January 2018, Axiata has established a BRMC comprising  majority Independent Non-Executive Directors (“INED”) in line with recommendation of the new Malaysian Code of Corporate Governance as follows:-

i) David Lau Nai Pek - Chairman, INED;

ii) Tan Sri Jamaludin Ibrahim – Member, Managing Director/President & Group Chief Executive Officer;

iii) Dato Dr Nik Ramlah Nik Mahmood – Member, INED;

iv) Dr David R. Dean – Member, INED; and

v) Peter J. Chambers – Member, Commissioner of PT XL Axiata Tbk, a subsidiary of Axiata operating in Indonesia.

The primary function of the BRMC is to provide oversight of Axiata Group’s enterprise risk covering risk management framework, strategies, risk tolerance levels and business continuity management.

2. Amalgamation of Board Nomination Committee (“BNC”) and Board Remuneration Committee (“BRC”) into a single committee

With effect from 1 January 2018, the Board has also merged the existing BNC and BRC into a single committee known as Board Nomination and Remuneration Committee (“BNRC”). Having a single committee would make the running of these committees more efficient. In addition to the existing members of the previous BNC and BRC, the Board has appointed Dato Dr Nik Ramlah Nik Mahmood as a new member making the full composition of BNRC as follows:-

i) Tan Sri Ghazzali Sheikh Abdul Khalid – Chairman, INED;

ii) Datuk Azzat Kamaludin – Member, Senior INED;

iii) Dato Dr Nik Ramlah Nik Mahmood – Member, INED; and

iv) Kenneth Shen – Member, Non- INED.
