We refer to the announcements dated 28 January 2016, 24 June 2016, 1 September 2016 and 9 November 2016 in relation to the Proposed Merger (“Announcements”). Unless stated otherwise, the definitions used herein shall have the same meanings as set out in the Announcements.

We are pleased to announce that Robi and Airtel Bangladesh had today register the Merger Filing with the RJSC. Pursuant to the above and in accordance with the Agreement, the Proposed Merger is completed today and the parties are in process to obtain the Merged License and completion of other procedural and/or administrative formalities.

On the Effective Date of the Proposed Merger, Robi is the surviving corporation and the shareholding in Robi between Axiata, Bharti and NTT DOCOMO Parties are 68.7%, 25.0%+1 Robi Share and 6.3% respectively.
