We refer to the announcement dated 26 April 2016 in relation to the DRS (“Announcement”). Unless otherwise stated, the definitions used herein shall have the same meanings as set out in the Announcement.

On behalf of the Board, CIMB wishes to announce that Axiata had on 3 May 2016 received the approval from Bursa Malaysia Securities Berhad (“Bursa Securities”) for the listing of the new Shares to be issued pursuant to the DRS in respect of the Final Dividend (“Proposal”), on the Main Market of Bursa Securities. The approval granted by Bursa Securities is subject to the following conditions:

1. Axiata and CIMB must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposal;
2. Axiata and CIMB to inform Bursa Securities upon the completion of the Proposal;
3. Axiata to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposal is completed; and
4. Axiata to furnish Bursa Securities with a certified true copy of the resolution passed by shareholders at general meeting for the proposed renewal of the authority for directors to allot and issue new Shares in relation to the DRS.
