Following the notification by Dialog Axiata PLC (“Dialog”) to the Colombo Stock Exchange on 14 August 2015, we wish to inform that Dialog, a 83.32%-owned subsidiary of Axiata Group Berhad (“Axiata”), through its wholly owned subsidiary, Digital Holdings Lanka (Private) Limited (“Digital Holdings”) had, on 14 August 2015, completed the incorporation of ‘DIGITAL HEALTH (PRIVATE) LIMITED’ (“Digital Health”) (Company No. PV107776), a private company limited by shares, under the Companies Act, No. 7 of 2007.

Digital Health was incorporated with a stated capital of LKR1,000/- of which 70% is held by Digital Holdings and the remaining by Asiri Hospital Holdings PLC (“Asiri Hospitals”). Digital Health is the designated vehicle for the joint venture between Digital Holdings and Asiri Hospitals to develop and operate a state-of-the-art electronic commerce infrastructure for the Sri Lanka’s healthcare sector.

The incorporation of Digital Health is not expected to have any material effect on the earning and Net Tangible Assets of Axiata for financial year ending 31 December 2015.

None of the Directors and/or major shareholders of Axiata and/or persons connected to them have any direct or indirect interest in the incorporation of Digital Health.
