Pursuant to Paragraph 9.19(40) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, Axiata Group Berhad ("Axiata") wishes to announce the tender offer of up to a cash spend of USD200,000,000 for the purchase of the Medium-Term Notes due 2050 issued by Axiata SPV5 (Labuan) Limited ("Axiata SPV5") ("Notes") out of the outstanding Notes of USD1,000,000,000 pursuant to the USD1,500,000,000 Euro Medium Term Note Programme will be made by Axiata SPV5 (a wholly-owned subsidiary of Axiata) in respect of the Notes which are listed on the Singapore Exchange Limited ("SGX").

Axiata SPV5 today announced that it has commenced an invitation to eligible holders of its outstanding Notes to offer to tender such Notes for purchase by Axiata SPV5 for cash ("Offer") subject to the terms and conditions set out in the Tender Offer Memorandum dated 29 August 2024 which is available on the tender offer website at https://projects.sodali.com/axiata.

The Offer is part of the Axiata Group's efforts to reduce its gross debt balance, reduce associated interest costs and enhance the Axiata Group's capital structure by allocating surplus cash towards payment of the Notes pursuant to the Offer. Notes purchased pursuant to the Offer are intended to be retired and cancelled.

The Offer will expire at 5:00 p.m. (New York time) on 26 September 2024 / 5:00 a.m. (Malaysia time) on 27 September 2024, or any other date and time to which Axiata SPV5, in its sole discretion, extends the Offer (such time and date, as it may be extended or earlier terminated ("Expiration Deadline")).
