The Board of Directors of Axiata Group Berhad ("Axiata") wishes to announce that Axiata, had on 25 June 2024 commenced the Members’ voluntary winding up of Axiata SPV1 (Labuan) Limited (“Axiata SPV1”or the “Company”) pursuant to the Labuan Companies Act 1990. In relation thereto, Mr Tan Chin Fah of KBCF Tan, 1st Floor, U0510, Lazenda Commercial Centre, Phase II, Jalan Tun Mustapha 87000 Federal Territory of Labuan was appointed as the Liquidator for Axiata SPV1.

The Members’ voluntary winding up of Axiata SPV1 is expected to be completed approximately between six (6) to nine (9) months from the date of appointment of the Liquidator.

Information on Axiata SPV1

Axiata SPV1 was incorporated in the Federal Territory of Labuan on 1 December 2009. Its present paid-up share capital is USD1.00 comprising 1 ordinary share of par USD1.00 each.

Rationale for the Members’ Voluntary Winding Up

In 2010, Axiata SPV1 issued USD300 million Guaranteed Notes (“Notes”) listed and quoted on The Stock Exchange of Hong Kong Limited guaranteed by Axiata. The Notes were settled on 24 April 2020. In line with the settlement of the Notes, the Company is now inactive. Axiata is no longer expecting returns and proposed for the Members’ voluntary winding up of the Company.

Financial or Operational Effects of the Members’ Voluntary Winding Up

The Members’ voluntary winding up of Axiata SPV1 will not have any financial or operational effect on Axiata Group.

Directors’ and/or Major Shareholders’ Interest

None of the Directors and/or major shareholders of Axiata and/or persons connected to them have any direct or indirect interest in the Members’ voluntary winding up of Axiata SPV1.
