Axiata Group Berhad ("Axiata") wishes to announce that Xpand Investments (Labuan) Limited, a wholly owned subsidiary of Axiata held via Axiata Business Services Sdn Bhd (“ABS”), had on 1 May 2023 registered the voluntary liquidation (“Voluntary Liquidation”) of Suvitech Co., Ltd. (“Suvitech”) pursuant to the Civil and Commercial Code of Thailand. In relation thereto, Mr. Rittichai Ngodngam of Prowess Law Co., Ltd., holding the Thai lawyer license No. 276/2538, was appointed as the Liquidator for Suvitech.

The voluntary liquidation of Suvitech is normally expected to be completed approximately within three (3) months from the date of registration of the Liquidator with the Department of Business Development of Thailand.

Information on Suvitech

Suvitech was incorporated in Thailand on 10 May 2002. Its present authorised capital is THB100,000,000.00 comprising 10,000,000 ordinary shares of par THB10 each.

Rationale for the Voluntary Liquidation and Dissolution

Axiata is repositioning and restructuring ABS to refocus on core products and operating markets. The consolidation of the ABS business and decision to exit the sub-scale Thailand market, led to the voluntary liquidation of Suvitech.

Financial or Operational Effects of the Dissolution

The Voluntary Liquidation of Suvitech will not have any material financial or operational impact to Axiata Group for the financial year ending 31 December 2023.

Directors’ and/or Major Shareholders’ Interest

None of the Directors and/or major shareholders of Axiata and/or persons connected to them have any direct or indirect interest in the Voluntary Liquidation of Suvitech.
