Reference is made to Axiata Group Berhad (“Axiata”)’s earlier announcements dated:

• 21 June 2021 in relation to the proposed merger of the telco operations of Celcom Axiata Berhad and Digi.Com Berhad;
• 11 August 2021 in relation to the commencement of a consent solicitation (“Consent Solicitation”) for Axiata SPV5 (Labuan) Limited’s Notes and Axiata SPV2 Berhad’s Sukuk; and
• 3 September 2021 in relation to the results of the Consent Solicitation.  

On behalf of Axiata, Maybank Investment Bank Berhad (“Maybank IB”) wishes to announce the satisfaction of the Consent Fee Conditions as set out in the Consent Solicitation Memorandum (dated 11 August 2021) with respect to the Axiata SPV5 (Labuan) Limited’s Notes and Axiata SPV2 Berhad’s Sukuk.

The Axiata SPV5 (Labuan) Limited, Axiata SPV2 Berhad and Axiata further announces the effectiveness of the Waivers with respect to the Axiata SPV5 (Labuan) Limited’s Notes and Axiata SPV2 Berhad’s Sukuk.
