Reference is made to Axiata Group Berhad (“Axiata”)’s earlier announcement dated 21 June 2021 in relation to the proposed merger of the telco operations of Celcom Axiata Berhad and Digi.Com Berhad and announcement dated 11 August 2021 in relation to the commencement of a consent solicitation (“Consent Solicitation”) for Axiata SPV5 (Labuan) Limited’s Notes (as defined in the attachment) and Axiata SPV2 Berhad’s Sukuk (as defined in the attachment). 

On behalf of Axiata, Maybank Investment Bank Berhad (“Maybank IB”) wishes to announce the results of the Consent Solicitation. As the votes received for each of the Extraordinary Resolutions (as defined in the attachment) in respect of the Notes and Sukuk, respectively, represented a majority of not less than three-quarters of the total votes received, each of the Extraordinary Resolutions was passed.
